End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and Gridley Studio LLC (“we,” “us,” or “our”) for the use of the Diminos mobile application (the “App”). By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not use the App. This EULA is part of our Terms of Service, and our Privacy Policy explains how we handle your data.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal device for personal, non-commercial use, subject to the terms of this agreement and the usage rules of the Apple App Store Terms of Service or Google Play Terms of Service, as applicable.

2. Restrictions

You agree not to:

  • Copy, modify, or distribute the App or its content
  • Reverse-engineer, decompile, or disassemble the App
  • Remove or alter any proprietary notices or labels
  • Use the App in violation of any applicable laws
  • Transfer, sublicense, or assign your rights under this agreement

3. Ownership & Virtual Items

The App and all related intellectual property are and remain the property of Gridley Studio LLC. This agreement does not grant you any ownership rights. All rights not explicitly granted are reserved. Virtual items, cosmetics, and other digital content purchased or earned within the App are licensed as part of the App and are not separately owned. Your license to virtual items terminates when this EULA terminates.

If you delete your Diminos account, your license to virtual items ends and you lose access to them. Virtual items, in-game currencies, cosmetics, and subscription benefits are not refunded upon account deletion.

4. Updates

We may release updates, patches, or new versions of the App from time to time. These updates may be required for continued use and are subject to the terms of this agreement. We are not obligated to provide any updates or ongoing support.

5. Privacy

Our Privacy Policy explains what data the App collects, how we use it, and the choices you have.

6. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce. You may not download or use the App if you are located in a country that is subject to a U.S. Government embargo.

7. Termination

This license is effective until terminated. It will terminate automatically if you fail to comply with any term of this agreement. Upon termination, you must uninstall and destroy all copies of the App. Your license to any purchased virtual items also terminates.

If your Mino's Club subscription is cancelled or expires, you lose the benefits it grants, including any items or features tied to an active subscription. You will not receive a refund for the remaining subscription period unless the law or the store's policy requires it.

8. Disclaimer

The App is provided “as is” and “as available” without any warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

In no event shall Gridley Studio LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the App. Our total cumulative liability for any and all claims related to the App shall not exceed the amounts you have paid for the App or in-app purchases in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

10. Apple-Specific Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

  • This EULA is between you and Gridley Studio LLC, not Apple Inc. Apple is not a party to this agreement.
  • The license granted to you is limited to a non-transferable license to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  • Gridley Studio LLC, not Apple, is solely responsible for the App and its content. Gridley Studio LLC is solely responsible for providing maintenance and support for the App, and Apple has no obligation whatsoever to furnish any maintenance and support services for it.
  • In the event the App fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
  • Gridley Studio LLC, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.
  • Gridley Studio LLC, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claim related to the App.
  • You must comply with any applicable third-party terms when using the App, such as your wireless data service agreement.
  • Questions, complaints, or claims about the App go to Gridley Studio LLC, not Apple, at the address and email in Section 13.
  • Apple and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance, Apple has the right to enforce this EULA against you as a third-party beneficiary.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.

11. Governing Law

This agreement is governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules. Disputes under it are resolved as Section 17 of the Terms of Service (Disputes and Arbitration) provides.

12. General Provisions

If any provision of this EULA is found to be unenforceable, the remaining provisions shall remain in full force and effect. This EULA and the Terms of Service are the entire agreement between you and Gridley Studio LLC regarding the App and supersede all prior agreements.
